If you own an LLC located outside of Texas and you want to operate in Texas, you will need to register your limited liability company as a foreign Texas LLC. Once filed, the state returns a filed certificate of authority from the Corporations Division of the Texas Secretary of State. The certificate of authority means you have the protection afforded to limited liability companies in the State of Texas – without it, the company cannot take advantage of Texas laws, like filing a lawsuit to collect a debt, if it has a Texas presence but is not registered.
