What Delaware requires

The registered agent requirement is set by statute: 6 Del. C. § 18-104 for LLCs and 8 Del. C. § 132 for corporations. Your agent must:

  • Keep a physical street address in Delaware — not a PO box, not a mail-forwarding box.
  • Be there during normal business hours to accept service of process in person.
  • Be a Delaware resident or an entity authorized to do business in Delaware.
  • Forward what it receives to you promptly. Delaware treats service on your agent as legal notice to you, whether or not the papers ever reach your desk.

The filing office for all of this is the Delaware Division of Corporations. If your entity is ever left without an agent on record, the state can strip its good standing — the status banks, lenders, and buyers check — until the default is cured.

Delaware compliance your agent should keep you ahead of

  • Delaware LLCs and LPs: a flat $300 annual tax due June 1. There is no annual report — you are not confirming addresses or ownership, just paying the $300. Miss it and the penalty is $200 plus interest.
  • Delaware corporations: the Annual Report and franchise tax are due March 1. The report lists a physical company address (not your agent's), every director, and one officer. Franchise tax starts at $175 and scales up with authorized shares or assumed par value.
  • Foreign entities: if you formed in Delaware but operate elsewhere, you still keep a Delaware agent here and a registered agent in your home state.

Can I be my own registered agent in Delaware?

Yes, if you have a physical Delaware street address and are there during business hours. The trade-offs: your name and address go on the public record, and if your company is sued, the process server comes to that address — sometimes in front of staff or customers.

Can I use a PO box as my Delaware registered agent address?

No. Delaware requires a physical street address staffed during business hours so that legal documents can be handed to a person. A PO box or virtual mailbox does not qualify.

Does a Delaware LLC file an annual report?

No. Delaware LLCs and LPs pay a flat $300 tax by June 1 and file nothing else. Only Delaware corporations file an Annual Report, due March 1 with the franchise tax.

How do I change my Delaware registered agent?

I formed in Delaware but work in another state. Do I need two agents?

What happens if my Delaware company has no registered agent?
