What Florida requires

The registered agent requirement is set by statute: Fla. Stat. § 605.0113 for LLCs and Fla. Stat. § 607.0501 for corporations. Your agent must:

  • Keep a physical street address in Florida — not a PO box, not a mail-forwarding box.
  • Be there during normal business hours to accept service of process in person.
  • Be a Florida resident or an entity authorized to do business in Florida.
  • Forward what it receives to you promptly. Florida treats service on your agent as legal notice to you, whether or not the papers ever reach your desk.

The filing office for all of this is the Florida Division of Corporations (Sunbiz). If your entity is ever left without an agent on record, the state can strip its good standing — the status banks, lenders, and buyers check — until the default is cured.

Florida compliance your agent should keep you ahead of

  • Annual report: every Florida LLC and corporation files an annual report on Sunbiz between January 1 and May 1. The LLC fee is $138.75; profit corporations pay $150.
  • File one day late and Florida adds a $400 late fee the Division cannot waive. Miss it entirely and the entity is administratively dissolved in the fall.
  • Your agent signs. Florida requires the registered agent to accept the appointment in writing — when you order our service that acceptance is handled for you.

Can I be my own registered agent in Florida?

Yes, if you have a physical Florida street address and are there during business hours. The trade-offs: your name and address go on the public record, and if your company is sued, the process server comes to that address u2014 sometimes in front of staff or customers.

Can I use a PO box as my Florida registered agent address?

No. Florida requires a physical street address staffed during business hours so that legal documents can be handed to a person. A PO box or virtual mailbox does not qualify.

When is the Florida annual report due?

Between January 1 and May 1 on Sunbiz. The LLC fee is $138.75. Filing even one day late triggers a mandatory $400 late fee that the Division of Corporations has no authority to waive.

How do I change my Florida registered agent?

File a Statement of Change of Registered Office or Registered Agent (form CR2E045) with the Division of Corporations naming the new agent. You can do this any time; you do not have to wait for a renewal date. When you order our service the form and instructions are in your account immediately.

I formed in Florida but work in another state. Do I need two agents?

Yes. You keep a Florida agent for the Florida entity, and you register as a foreign entity in the state where you actually operate and keep an agent there too. We cover all 50 states, D.C., and Puerto Rico at the same $10 per month, per state.

What happens if my Florida company has no registered agent?

Florida administratively dissolves the entity. You cannot sue or maintain a lawsuit in Florida courts, and you lose good standing, until you appoint an agent and reinstate u2014 which means the back annual report, the $400 late fee, and a reinstatement fee.
