What Georgia requires

The registered agent requirement is set by statute: O.C.G.A. § 14-11-209 for LLCs and O.C.G.A. § 14-2-501 for corporations. Your agent must:

• Keep a physical street address in Georgia — not a PO box, not a mail-forwarding box.
• Be there during normal business hours to accept service of process in person.
• Be a Georgia resident or an entity authorized to do business in Georgia.
• Forward what it receives to you promptly. Georgia treats service on your agent as legal notice to you, whether or not the papers ever reach your desk.

The filing office for all of this is the Georgia Secretary of State, Corporations Division. If your entity is ever left without an agent on record, the state can strip its good standing — the status banks, lenders, and buyers check — until the default is cured.

• Annual registration: every Georgia LLC and corporation files an annual registration with the Secretary of State between January 1 and April 1. The LLC fee is $50. You confirm your agent and addresses at the same time.
• Miss the April 1 date and Georgia starts administrative dissolution about 60 days later. Reinstatement means back fees and a $250 reinstatement fee.
• Foreign entities: if you formed in Georgia but operate elsewhere, you keep a Georgia agent here and a registered agent in your home state too.

Can I be my own registered agent in Georgia?

Yes, if you have a physical Georgia street address and are there during business hours. The trade-offs: your name and address go on the public record, and if your company is sued, the process server comes to that address — sometimes in front of staff or customers.

Can I use a PO box as my Georgia registered agent address?

No. Georgia requires a physical street address staffed during business hours so that legal documents can be handed to a person. A PO box or virtual mailbox does not qualify.

When is the Georgia annual registration due?

Between January 1 and April 1 every year, filed with the Secretary of State. The LLC fee is $50, and you confirm your registered agent on the same filing.

How do I change my Georgia registered agent?

File a registered agent change (on its own, or as part of your annual registration) with the Secretary of State naming the new agent. You can do this any time; you do not have to wait for a renewal date. When you order our service the form and instructions are in your account immediately.

I formed in Georgia but work in another state. Do I need two agents?

What happens if my Georgia company has no registered agent?

Georgia can administratively dissolve the entity. You lose the right to do business under the name and your certificate of good standing until you appoint an agent, file the back registrations, and pay the $250 reinstatement fee.
