Section 4: Service of process; registered agent; service on corporation in absence of registered agent
(a) The registered agent designated by a corporation serves as the corporation’s representative for receiving service of process, notice, or demand as required or permitted by law. (b) In the event that a corporation either lacks a registered agent or the designated agent cannot be served with reasonable diligence, the corporation may still be served through registered or certified mail, return receipt requested. Such mail should be addressed to the secretary of the corporation or another executive officer as specified under Trial Rule 4.6(a)(1) at the corporation’s principal office. Under this provision, service is considered complete upon the earliest of the following occurrences:
- The date the corporation physically receives the mailed documents.
- The date indicated on the return receipt if it is signed on behalf of the corporation.
- Five (5) days after the mailing of the documents through the United States Postal Service, provided they are postpaid and correctly addressed. (c) It’s important to note that this section does not exclusively dictate the methods by which a corporation may be served.
