What Do Arkansas Registered Agents Do?

Arkansas law requires all types of businesses, like corporations, nonprofits, LLCs, LPs, and LLPs, to have a registered agent.

This agent serves as the official go-between for your organization and the state, receiving legal documents such as lawsuits and tax notices on your behalf. They need to be available at a specific physical location, called the registered office, during regular business hours.

While a registered agent’s responsibilities may appear regular failing to do them might result in major legal consequences. If they fail to receive or deliver key documents, your company may miss court dates or suffer default judgments. As a result, selecting a reliable registered agent is critical for ensuring that all official notices are handled on time.

Why do I need an Arkansas Registered Agent?

robot with paper

Arkansas law mandates that businesses designate a registered agent to facilitate reliable communication with the state, prevent the oversight of important legal notifications, and uphold business accountability. Registered agents also safeguard the privacy of business owners and ensure compliance with state legal requirements.

These aspects underscore the significance of registered agents, who play a pivotal role as a primary liaison between the state and your business. Failure to designate a registered agent, as outlined in the “Doing Business in Arkansas” guide by the Secretary of State’s office, can result in penalties and the loss of favorable standing with the state.

What are the requirements for Arkansas registered agents?

  • In Arkansas, there are two main types of candidates eligible for the role of registered agent:

    1. Individuals—These are any adults residing in Arkansas who agree to serve as the registered agent and are accessible at a designated physical address during typical business hours (including family members, friends, employees, or the business owner).
    2. Organizations—Primarily comprising commercial registered agent services, these businesses specialize in fulfilling the duties of a registered agent. They possess the necessary expertise and resources to carry out these responsibilities effectively, making them generally regarded as a more dependable choice compared to individuals.

How Are Arkansas Registered Agents Served?

  • Since September 1, 2007, the Arkansas Secretary of State has implemented changes regarding the acceptance of service of process on registered entities within the state. Act 638 of 2007, also known as The Model Registered Agents Act, brought about amendments to various sections of the Arkansas Code concerning the service of process on business entities registered in Arkansas. Specifically, a new procedure for serving business entities in Arkansas was introduced, as outlined in Act 638 of 2007.

One significant aspect of this new procedure is the designation of a registered agent as an authorized representative of the entity to receive service of process, notices, or demands required or permitted by law. In instances where an entity fails to appoint a registered agent or the appointed agent cannot be reached with reasonable diligence, alternative methods of service are outlined. These include serving the entity via registered or certified mail addressed to one or more of its governors at the principal office, with specific guidelines regarding the names of governors and the address of the principal office based on recent filings with the Secretary of State.

Furthermore, if traditional methods of service are not feasible, alternative options are provided, such as delivering a copy of the process, notice, or demand to the manager, clerk, or other authorized personnel at the entity’s regular place of business or activity. Additionally, specific requirements regarding the form of written documents for service on a registered agent are detailed, along with provisions for alternative forms of service based on the agent’s stated preferences. These changes underscore the importance of adhering to prescribed legal procedures to ensure effective and lawful service of process on business entities in Arkansas.

Serving a registered agent is legal proof that you were notified. Regardless of whether you look at the docs or even receive them from your registered agent service. You were notified. We take this responsibility very seriously.
