What Arizona requires

The statutory agent requirement is set by statute: A.R.S. § 29-3115 for LLCs and A.R.S. § 10-501 for corporations. Your agent must:

• Keep a physical street address in Arizona — not a PO box, not a mail-forwarding box.
• Be there during normal business hours to accept service of process in person.
• Be an Arizona resident or an entity authorized to do business in Arizona.
• Forward what it receives to you promptly. Arizona treats service on your agent as legal notice to you, whether or not the papers ever reach your desk.

The filing office for all of this is the Arizona Corporation Commission. If your entity is ever left without an agent on record, the state can strip its good standing — the status banks, lenders, and buyers check — until the default is cured.

Can I be my own statutory agent in Arizona?

Yes, if you have a physical Arizona street address and are there during business hours. The trade-offs: your name and address go on the public record, and if your company is sued, the process server comes to that address — sometimes in front of staff or customers.

Can I use a PO box as my Arizona statutory agent address?

No. Arizona requires a physical street address staffed during business hours so that legal documents can be handed to a person. A PO box or virtual mailbox does not qualify.

Does an Arizona LLC file an annual report?

No. Arizona LLCs file no annual report and pay no recurring report fee. Only Arizona corporations file an annual report with the Corporation Commission. New LLCs do have a one-time newspaper publication step unless they are based in Maricopa or Pima County.

How do I change my Arizona statutory agent?

I formed in Arizona but work in another state. Do I need two agents?

What happens if my Arizona company has no statutory agent?

The Corporation Commission can administratively dissolve the LLC. You lose the liability shield and good standing until you appoint a statutory agent and go through reinstatement.
